This agreement includes a binding arbitration provision and class action waiver in Section 12. By using this platform, you agree to resolve disputes individually through arbitration.

1. About These Terms

Verum Health RX, LLC ("Verum Health RX," "we," "us," or "our") operates verumhealthrx.com, a wholesale fulfillment platform that provides licensed healthcare prescribers with access to compounded medications from our network of 503A-licensed pharmacies and compounding facilities.

These Terms of Service ("Terms") govern your access to and use of this platform. By accessing or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use this platform.

2. Eligibility — Licensed Prescribers Only

This platform is available exclusively to:

By using this platform, you represent and warrant that (i) you hold a current, unrestricted license to prescribe medications in the applicable jurisdiction; (ii) all information you provide is accurate, current, and complete; and (iii) you are using this platform solely for legitimate professional purposes in accordance with applicable federal and state law.

This platform is not for patients or consumers. Prescribers may not place orders on behalf of patients for resale through unauthorized channels.

3. Account Registration and Security

To access wholesale pricing and ordering, you must create an account. You agree to provide accurate information during registration, including your NPI number and applicable license details. We verify credentials through the CMS NPI Registry and may require additional documentation.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@verumhealthrx.com if you suspect unauthorized access.

4. Platform Description — What We Do and Don't Do

Verum Health RX operates as a managed services organization (MSO) and wholesale fulfillment intermediary. We do not practice medicine, provide clinical guidance, or make prescribing recommendations. All prescribing decisions are made solely by the licensed prescriber.

We are not a pharmacy. All compounding and dispensing is performed by independent, licensed 503A compounding pharmacies within our partner network.

5. Compounded Medications — Regulatory Disclosures

All products available through this platform are compounded by 503A-licensed pharmacies. Compounded medications are not FDA-approved. They have not been evaluated by the FDA for safety, efficacy, or quality. Compounded preparations are prepared for individual patients based on a valid prescription from a licensed prescriber.

Prescribers are solely responsible for determining the clinical appropriateness of any compounded medication for their patients, ensuring that prescriptions comply with all applicable federal and state laws and regulations, and complying with all applicable prescribing, documentation, and patient consent requirements.

6. Ordering and Fulfillment

Orders submitted through the platform are forwarded to the applicable pharmacy partner for review and fulfillment. We do not guarantee fulfillment of any order. Pharmacy partners retain the right to decline orders that do not meet clinical, legal, or operational requirements.

Shipping timelines are estimates only. We are not liable for delays caused by pharmacy processing, carrier issues, customs, or circumstances beyond our reasonable control.

7. Pricing and Payment

Wholesale pricing is displayed at checkout. By submitting an order, you authorize Verum Health RX and our payment processors to charge your designated payment method for all applicable fees. Prices are subject to change without notice.

All sales are final once an order has been submitted for fulfillment. Exceptions may apply for product damage, loss in transit, or fulfillment errors as described in our return/replacement process available upon request.

All content, features, and functionality of this platform are owned by or licensed to Verum Health RX, LLC. We grant you a limited, non-exclusive, non-transferable license to access and use the platform solely for your authorized professional purposes. All other rights are reserved.

10. No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERUM HEALTH RX EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE MAKE NO REPRESENTATION THAT ANY PRODUCT AVAILABLE THROUGH THE PLATFORM IS APPROPRIATE, SAFE, OR LEGAL FOR ANY PARTICULAR PATIENT OR USE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERUM HEALTH RX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE PLATFORM. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (I) ONE HUNDRED DOLLARS ($100) OR (II) THE TOTAL AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Arbitration and Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform shall be resolved by binding arbitration administered under the American Arbitration Association Commercial Arbitration Rules. Arbitration shall take place in Houston, Texas. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

This arbitration provision does not prevent either party from seeking emergency injunctive relief from a court of competent jurisdiction to preserve the status quo pending arbitration.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles, except where superseded by applicable federal law.

14. Changes to These Terms

We may update these Terms at any time by posting the revised version on this page. Material changes will be indicated by updating the "Last Updated" date. Your continued use of the platform after any update constitutes your acceptance of the revised Terms.

15. Termination

We reserve the right to suspend or terminate your access to the platform at any time, with or without notice, for any violation of these Terms, misuse of the platform, or any other reason at our sole discretion. Sections 10, 11, 12, and 13 survive termination.
